Project Overview and Role

Enclude Capital Advisory Services (Enclude) is part of The Palladium Group, an international advisory firm that works with governments, businesses and investors to solve the world's most pressing challenges. For the past 50 years, Palladium has been helping clients to see the world as interconnected - by formulating strategies, building partnerships, and implementing programmes that have a lasting social and financial impact. Within Palladium, the Enclude team develops capital solutions for social enterprises, sustainable financial institutions, and impact fund managers, investors and funders. We are a team of 12 impact investing professionals, based in London and Washington, DC, tackling global and local challenges that require creative, hands-on and people-focused approaches to mobilising capital and unlocking positive impact.
Our three broad sets of services are transactions (capital raising fund placement and M&A), capital structuring advisory (financing strategy and investment vehicle design) and transaction related services. We are a regulated business, authorised to conduct corporate finance work in the UK by the Financial Conduct Authority.

The Associate Director will lead advisory mandates, both in origination and execution, and will also contribute to more general building of the franchise and strengthening of practice infrastructure and systems. You will be expected to lead the delivery of a wide range of client facing engagements, which include equity as well as debt capital structuring, capital raising mandates at the company and fund level, M&A mandates and transaction related services.

Responsibilities

Project Execution
  • Overall project management
  • Setting and managing the project/ transaction timetable
  • Client relationship management and being the day-to-day point of contact with clients
  • Managing the project team and ensuring quality on all client deliverables
  • Managing transaction cost in relation to a budget and monitoring invoicing and collections in respect of fees and expenses
  • Mandate execution in all phases, from design and structuring, marketing, negotiation to closing transactions
  • Managing investor lists, outreach, tracking feedback and driving investor meetings
  • Drafting presentation materials, logistics management and issue identification/ resolution
  • Managing the preparation of Information Memoranda, financial models and data room
  • Liaising with and advising clients on transaction strategy including tactics, deal structuring, negotiation strategy and providing insight on specific strategic issues
  • Managing term sheet and documentation negotiation through to transaction closing
  • Managing the engagement team and external parties such as legal counsel
Business Development
  • Sourcing prospective client relationships and cultivating investor networks, both directly and through relationships within the Palladium Group
  • Participating in, and leading, on-going internal coordination and planning meetings
  • Building Enclude marketing materials, creating proposals/ pitch documents
  • Developing thought leadership on impact investing themes, product innovation and transaction design
  • Representing Enclude at industry conferences and convenings
Practice Building
  • Improving internal materials, processes and tools that support growth of the practice
  • Contributing to the knowledge and relationship base of the team
  • Taking responsibility for one or more internal team functions (e.g. training, people development, compliance, finances)

Requirements

  • Relevant experience in the sector, a large proportion of that being in a transaction environment
  • Demonstrated interest in impact investing, and ideally within one of our core sectors of inclusive finance, renewable energy, sustainable agriculture, education and health
  • Experience working in a developing country or in an international development context
  • Significant experience in financial modelling and presentation development
  • An appetite for the sometimes fast-moving and multi-tasking environment of a transaction team, including willingness to put in potentially long hours around deadlines
  • Ability to deliver consistently high levels of accuracy, efficiency and follow-through
  • Exceptional written and verbal English communication skills, including proposal/ presentation writing
  • Team orientation and motivation
  • Ability to exercise independent judgment and proactively ask questions as needed
  • Ability to take full ownership of assigned projects
  • Willingness to travel internationally on short-term assignments.
